Its experience includes bank financings, CMBS loans, and private investor financings. It also involves the structuring of ownership entities and advising on securities-related issues tied to raising capital.
Mortgage Capital Markets
The Firm drafts, reviews and negotiates purchase and sale agreements and related capital market documents, including pooling and servicing agreements, with respect to transactions in whole loan pools of commercial and residential loans.
Mergers and Acquisitions
The Firm represents buyers and sellers in the purchase and sale of privately owned businesses and advises clients on the structuring of such transactions, including the negotiation of letters of intent, confidentiality agreements, consulting agreements and employment agreements.
New Business Formation, Restructurings
The Firm advises on the structuring and formation of new business entities, preparation and filing of organizational documents, and drafting of contracts and other business documents necessary to the on-going operations of a new enterprise, including non-disclosure and consulting agreements. We can also help you negotiate significant business transactions and, as circumstances change, advise you concerning the restructuring of your organization and execute that restructuring.
